Terms of Service

BidBrush.Pro +Plus is a cloud-based estimating and client management platform designed for contractors, tradespeople, and service businesses. The Service enables users to create and manage estimates, organize client information, generate PDF documents, send estimate emails to clients, and access business analytics. The Service is offered on a subscription basis, including a limited free trial period. The Service is a productivity tool only. We do not provide legal, financial, accounting, or professional licensing advice. Any estimates, proposals, or documents created using the Service are solely the responsibility of the user.

You must be at least 18 years of age and capable of entering into a legally binding agreement to use the Service. By creating an account, you represent and warrant that you meet these requirements. The Service is intended for business use and is not directed at consumers for personal, family, or household purposes.

To access the Service, you must create an account using a supported authentication method. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at [email protected] if you suspect unauthorized access to your account.

The Service is offered under the following plan structure:

Payments are processed by Stripe, Inc. By subscribing, you authorize us to charge your payment method on a recurring basis at the then-current subscription rate. All fees are stated in U.S. dollars and are non-refundable except as required by applicable law. We reserve the right to change subscription pricing with at least 30 days' advance notice.

New users receive a 14-day free trial with full access to all +Plus features. No payment information is required to begin the trial. At the end of the trial period, your account will automatically transition to the Free tier — you retain the ability to create and download estimates, use basic templates, and view revenue analytics. +Plus features (email delivery to clients, client dashboard, public estimate link sharing, advanced analytics, job costing, and photo uploads) will be locked and will require an active paid subscription to access.

You may cancel your subscription at any time through the account settings or by contacting us at [email protected]. Cancellation takes effect at the end of the current billing period. After cancellation, your account will revert to the Free tier. +Plus features including email delivery, client dashboard, public estimate link sharing, advanced analytics, job costing, and photo uploads will be disabled until a subscription is renewed. You may request permanent deletion of your account and all associated data at any time by contacting us. Upon deletion, all your data will be permanently removed from our systems within 30 days, except where retention is required by law. We reserve the right to suspend or terminate your account immediately, without notice, if you violate these Terms or engage in fraudulent activity.

You agree to use the Service only for lawful purposes. You must not use the Service to:

• Create fraudulent, misleading, or deceptive estimates or documents
• Harass, spam, or send unsolicited communications to clients or third parties
• Attempt to gain unauthorized access to any part of the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated tools to access or extract data from the Service
• Violate any applicable local, state, national, or international law
• Impersonate any person or entity

The Service, including its software, design, trademarks, and content, is owned by BidBrush.Pro LLC, LLC and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes. You retain full ownership of all content you create using the Service, including estimates, client data, and uploaded materials. We do not claim ownership of your content and will not sell or share it with third parties except as described in our Privacy Policy.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

The Service integrates with third-party providers including Stripe (payment processing) and Resend (email delivery). Your use of these integrations is subject to the respective third-party terms of service and privacy policies.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, [YOUR LLC NAME], LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE GREATER OF THE TOTAL AMOUNT YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100).

You agree to indemnify, defend, and hold harmless BidBrush.Pro LLC, LLC, its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of your use of the Service or violation of these Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut. Any dispute arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in Connecticut.

We reserve the right to modify these Terms at any time. When we make material changes, we will update the effective date at the top of this page. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.

If any provision of these Terms is found to be unenforceable, that provision will be limited to the minimum extent necessary so that the remaining Terms remain in full force. These Terms, together with our Privacy Policy, constitute the entire agreement between you and BidBrush.Pro LLC, LLC.
